Welcome to TokenClub! These Terms of Service ("Terms") govern your use of our platform, accessible at https://tokenclub.netlify.app, and any related services provided by TokenClub ("we," "us," or "our"). By accessing or using TokenClub, you agree to be bound by these Terms. If you do not agree, please do not use our platform.

1. Acceptance of Terms

By creating an account, creating a token, or otherwise using TokenClub, you acknowledge that you have read, understood, and agree to these Terms, as well as our Privacy Policy. These Terms apply to all users, including visitors, token creators, and liquidity managers.

2. Use of the Platform

You agree to use TokenClub in accordance with these Terms and all applicable laws and regulations. You are responsible for:

  • Ensuring the accuracy of the information you provide, such as token details (name, symbol, supply) and social links.
  • Maintaining the security of your Solana wallet and private keys. TokenClub is not responsible for any loss of funds due to compromised wallets or unauthorized access.
  • Paying all fees associated with token creation, liquidity management, and blockchain transactions, as outlined on our platform (e.g., starting at 0.1 SOL plus additional feature fees).

You agree not to:

  • Use TokenClub for any illegal or unauthorized purpose, including creating tokens that infringe on intellectual property rights or promote harmful activities.
  • Attempt to disrupt, hack, or otherwise interfere with the operation of TokenClub, including through the use of bots, scripts, or other automated methods.
  • Create tokens with misleading, fraudulent, or harmful intent, such as impersonating other projects or entities.

3. Token Creation and Management

TokenClub provides a no-code platform for creating and managing SPL tokens on the Solana blockchain. When you create a token:

  • You are responsible for the token’s details, features, and compliance with applicable laws. TokenClub does not endorse or verify the tokens created on our platform.
  • Transactions are executed on the Solana blockchain and are irreversible once confirmed. TokenClub cannot refund or reverse transactions.
  • You acknowledge the risks associated with blockchain technology, including price volatility, network fees, and potential smart contract vulnerabilities.

4. Fees and Payments

TokenClub charges fees for token creation and optional features (e.g., adding social links, revoking authorities), starting at 0.1 SOL. Additional Solana network fees may apply. All fees are non-refundable, and you are responsible for ensuring sufficient funds in your wallet to cover both TokenClub fees and network fees.

5. Intellectual Property

TokenClub and its content (e.g., design, text, logos) are protected by intellectual property laws. You may not copy, modify, or distribute our content without prior written permission. Tokens created on TokenClub are your responsibility, and you warrant that they do not infringe on third-party intellectual property rights.

6. Third-Party Services

TokenClub integrates with third-party services like Raydium, Pump.fun, Pinata (for IPFS storage), and Helius (for Solana RPC). These services are subject to their own terms and policies, and TokenClub is not responsible for their performance, availability, or actions.

7. Disclaimer of Warranties

TokenClub is provided on an "as-is" and "as-available" basis. We do not guarantee that the platform will be uninterrupted, error-free, or free from viruses or other harmful components. Blockchain transactions carry inherent risks, and you use TokenClub at your own risk.

8. Limitation of Liability

To the maximum extent permitted by law, TokenClub shall not be liable for any indirect, incidental, or consequential damages arising from your use of the platform, including loss of funds, data, or profits. Our total liability shall not exceed the fees paid by you to TokenClub in the preceding 12 months.

9. Indemnification

You agree to indemnify and hold TokenClub harmless from any claims, losses, or damages arising from your use of the platform, including any tokens you create or manage, or your violation of these Terms.

10. Termination

We reserve the right to suspend or terminate your access to TokenClub at our discretion, with or without notice, if you violate these Terms or engage in activities that harm the platform or its users. Blockchain transactions (e.g., token creation) cannot be undone upon termination.

11. Governing Law

These Terms are governed by the laws of the State of California, USA, without regard to its conflict of law principles. Any disputes shall be resolved in the state or federal courts located in California.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of significant changes by posting the updated Terms on our website with a new "Last Updated" date. Your continued use of TokenClub constitutes acceptance of the updated Terms.
